Marketplace & Consumer Apps Terms of Service

These terms cover the consumer marketplace, the simpler-home consumer app, and related vendor tools. For the simplerOS platform used by agents and staff, see the simplerOS Terms and Conditions.

1. Agreement

These Terms of Service (the “Terms”) govern your use of the Simpler platform (the “Service”), operated by Simpler Real Estate (the “Brokerage”, “we”, “us”). The Service includes our internal back-office platform (Simpler OS), our consumer-facing marketplace at marketplace.simpleros.com, the simpler-home consumer mobile app, and any related tools. By using any part of the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Who can use the Service

The Service is open to three audiences, each with its own scope:

  • Real estate professionals affiliated with or supervised by the Brokerage. You may use the back-office platform, the marketplace, and the consumer apps in support of your clients.
  • Homeowners and consumers browsing the marketplace or using the simpler-home app. You may search for service vendors, request bids, and communicate with the contractors who respond.
  • Home-services vendors who self-submit a listing or are invited by an agent. You may receive bid invitations from agents and consumers, respond with quotes, and (in Phase 6, when the vendor portal launches) manage your listing directly.

You must be at least 18 years old and legally able to enter into a binding contract.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us immediately of any unauthorized access. We may suspend or terminate accounts that we reasonably believe are compromised or being used in violation of these Terms.

4. SMS messaging consent (TCPA)

When you submit your phone number through the marketplace bid signup, the vendor self-signup form, or the consumer app sign-in flow, you consent to receive SMS messages from Simpler Real Estate, including one-time verification codes, bid status notifications, and listing approval notices. Message and data rates may apply. Message frequency varies by activity. Reply STOP to opt out at any time. ReplyHELP for help. Opting out will end transactional bid notifications and may limit your ability to use the Service.

5. Marketplace listings — vendors

Vendors who self-submit a listing represent that they (a) are authorized to operate the business listed, (b) hold any required licenses for the services they offer in the jurisdictions they operate, and (c) will respond to bid invitations in good faith.

We may decline, hide, or remove a listing at our discretion, including for stale contact information, repeated non-response, customer complaints, or business-conduct concerns.

We may auto-claim a pre-existing draft listing matched by phone number when a vendor self-submits, in which case the listing's ownership is transferred to the submitting vendor.

6. Bid requests — consumers and agents

When you submit a bid request through the marketplace or the simpler-home app, your scope text, photos, and contact information are shared with the vendors matched to your request. You authorize those vendors to contact you regarding the request through the contact methods you provided.

Acceptance of a vendor's bid creates a service relationship between you and that vendor. Simpler Real Estate is not a party to that relationship. We do not guarantee vendor performance, pricing, timelines, or quality.

7. No vendor warranty — you choose

Vendors on the marketplace are independent third parties. We surface signals (recommendations from Brokerage agents, prior job count, response time) to help you compare, but the decision to hire any vendor is yours. Simpler Real Estate disclaims all warranties, express or implied, regarding vendor work, including warranties of merchantability, fitness for a particular purpose, workmanship, and licensure.

8. Acceptable use

You will not:

  • Submit false, misleading, or impersonating information
  • Scrape, copy, or republish the marketplace listings or vendor data
  • Send unsolicited commercial messages to vendors or consumers via the platform
  • Use the Service to violate applicable law, including TCPA, FCRA, fair-housing, and consumer-protection laws
  • Attempt to circumvent rate limits, captcha, or security controls

Violations may result in immediate termination and, where applicable, legal action.

9. Intellectual property

The Simpler platform, brand marks, and original content are owned by Simpler Real Estate. You retain ownership of content you submit (bid scope text, photos, business profile content), but grant us a worldwide, non-exclusive, royalty-free license to display and process that content as needed to operate the Service.

10. Disclaimers and liability

The Service is provided “as is” and “as available.” We do not warrant that the Service will be uninterrupted, error-free, or secure beyond commercially reasonable measures. To the maximum extent permitted by law, our liability for any claim arising out of the Service is limited to the amount you paid us in the twelve months preceding the claim, or one hundred US dollars (USD $100), whichever is greater.

11. Indemnity

You agree to indemnify and hold the Brokerage harmless from any claim arising out of your violation of these Terms, your misuse of the Service, or your interactions with other users (including the work product of any vendor you hire through the marketplace).

12. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or applicable law. Sections 4 through 11, 13, and 14 survive termination.

13. Disputes

These Terms are governed by the laws of the Commonwealth of Kentucky. Any dispute arising out of these Terms or the Service will be resolved in the state or federal courts of Jefferson County, Kentucky, and you consent to that jurisdiction.

14. Changes

We may update these Terms from time to time. Material changes will be announced via the Service or by SMS or email to your account contact. Continued use of the Service after the effective date of an update constitutes acceptance.
